Code of conduct
- INTRODUCTION
Our overarching goal and most important responsibility is to ensure that all our products and services are delivered in a socially responsible and ethically correct manner. Our values shall underpin and guide the way we act towards employees, customers, suppliers and other stakeholders.
We strive for integrity at all levels and shall appear in a way that makes employees proud of their workplace. The importance of acting with integrity and being proven responsible for the company is equated with business goals.
TS Group will be a clear contributor to the local community around our locations. We will work actively to ensure that our employees contribute to sustainable development, both of the working environment and the external environment. Together, we will set the standard and create lasting value for our customers, the group's employees and owners.
The guidelines apply to everyone who works for or otherwise represents TS Group. This includes, but is not limited to, board members, managers, employees, contracted personnel, consultants and any other intermediaries. The guidelines provide TS Group representatives with the guidance and support needed to conduct our business in a responsible manner and in accordance with applicable laws, rules and regulations.
The ethical guidelines are part of the company's induction program, all employees and/or board members must verify compliance and undertake to perform their work in accordance with the document's content.

Our customers should experience that TS is a leader in terms of competent and committed employees, that we deliver good solutions and have a high focus on follow-up. TS Group is subject to Norwegian legislation and applicable legislation in any other countries in which it may operate. The group and its employees undertake to comply with applicable laws and regulations, adhere to high ethical standards and take active social responsibility in the performance of their work.
TS Group shall encourage its business partners to adhere to ethical standards that are consistent with TS Group's ethical requirements. The Group's employees shall comply with the rules and guidelines set by the customer for the individual assignment and for work at the customer's facilities, including outside of regular working hours.
All employees are personally responsible for operating in accordance with applicable legislation and the ethical guidelines of TS Group.
TS Group will conduct its business in a manner that respects human rights and upholds human dignity. We support and recognize fundamental human and labor rights as defined in the United Nations Universal Declaration of Human Rights and the International Labor Organization (ILO) Declaration on Fundamental Principles and Rights at Work. TS Group operates its business in line with the UNGP Principles (UN Guiding Principles on Business and Human Rights).
When making tenders, offers or investments, issues related to human rights must be assessed and the risk of the company coming into conflict with any of the fundamental human rights principles must be eliminated.
TS Group shall show respect for all individuals. Decisions and recruitment processes shall be made on the basis of competence, regardless of the employee's gender, pregnancy, ethnicity, religion, beliefs, disability, sexual orientation, age and other significant factors concerning a person.
TS Group aims to be an employer of choice characterised by openness, inclusion and a good working environment. The Group does not accept behaviour that could be perceived as threatening or degrading, including harassment and discrimination.
In order for TS Group to operate in line with our values and guidelines, we depend on employees speaking up when something is not right. Information about critical matters allows us to improve. It is important both for the company and for the society we are a part of. TS Group shall have a low threshold for reporting.
Confidentiality shall ensure that no unauthorized person gains access to information that could harm TS Group's business or reputation. Sensitive information related to employees, business, commercial, technical, contractual or security matters and other confidential information shall not be disclosed to unauthorized persons. This also applies to information that individuals have acquired on assignments for our clients.
Confidentiality also applies after the employment relationship or assignment has ended.
The employee must not become involved in relationships that may be or be perceived to be in conflict with TS Group's interests.
The employee may not have assignments for or ownership interests in competing businesses, customers or suppliers or engage in paid board positions, employment, or assignments for other companies without this being approved by TS Group.
No employee may work on or handle matters in which they, their partner/spouse or other persons who may be perceived as incompetent, directly or indirectly have an interest.
TS Group has a zero tolerance policy for corruption. Representatives of TS Group shall not, either directly or indirectly through a third party, offer, give, receive, request or agree to accept any form of improper advantage of any kind. An improper advantage is an advantage that does not have a legitimate business purpose and is normally given to influence the recipient for an improper purpose, for example to obtain or retain business or other business advantages.
TS Group representatives shall act openly and transparently. We do not permit gifts or entertainment if giving or receiving them could influence business decisions, violate local laws or guidelines of the recipient company. TS Group does not expect gifts or entertainment from any of our business partners.
TS Group shall compete within the applicable competition regulations in the markets in which the Group operates. The employee shall focus exclusively on TS Group's competitive advantages rather than promoting weaknesses among competitors or others in the industry.
TS Group's external communications shall contribute to supporting our vision and values. We shall communicate clearly and openly. No unauthorized persons may communicate with the media, including through social media posts, on behalf of the company.
TS Group has social media accounts that are used for marketing, recruitment and as a news channel for the company. Please familiarize yourself with our social media guidelines, private use must be in line with these and not compromise the company's reputation.
Health, environment, safety and quality (HSE) always have top priority in all TS Group activities.
Our fundamental position is that personal injuries, occupational illnesses and near misses resulting from our activities, including our assignments, should not occur. We at TS Group have a zero-hazard philosophy. The working environment at TS shall be health-promoting and meaningful for all our employees and we shall strive for continuous improvement for the overall performance of the organization.
Our HR, quality and external environment policy describes how we will comply with this and expectations for individual employees.

Ensure good health and promote quality of life for everyone, regardless of age.
Good health is a fundamental prerequisite for people to reach their full potential and to contribute to development in society.
As an employer, we must ensure that the health of all our employees is safeguarded in the form of a good mental and physical working environment. The company's ambitions and achievements are organized via KPI-based HMSK measurement institute, employee surveys, health surveys and pulse measurements. This is anchored and followed by the AMU/BU -Work Environment Committee and the Company Committee.
GENDER EQUALITY
Achieve gender equality and strengthen the position of girls and women in society. As an employer, we will contribute to diversity and gender equality in recruitment processes, and ensure equal pay for equal work between the sexes. The company's ambitions and achievements are organized through measuring and reporting various parameters such as gender distribution, equal pay and diversity.
DECENT WORK AND ECONOMIC GROWTH
Promote lasting, inclusive and sustainable economic growth, full employment and decent work for all. As an employer, we shall ensure optimal and good working conditions that create well-being, well-being is good business. Promote participation by involving trade unions and maintaining close dialogue. TS Group is a collective bargaining company with an AFP scheme, we are subject to strict equal pay principles as established for the industry.
ESG and sustainability
TS Group contributes to sustainable development through responsible operations and clear priorities within ESG. We support the UN Sustainable Development Goals, with a particular focus on:

Good health and quality of life
We will ensure a safe, health-promoting and inclusive working environment. Follow-up is carried out through HSEK surveys, employee surveys, health surveys and collaboration between parties in AMU and BU.

Gender equality
We work for diversity, gender equality and equal pay for equal work. Development is monitored through measuring and reporting on gender distribution, salary levels and diversity.

Decent work and economic growth
TS Group will offer safe and predictable working conditions, promote participation and cooperate closely with trade unions. We are bound by collective agreements, have an AFP scheme and follow established equal pay principles.
Transparency Act – liability and due diligence
TS Group is covered by the Transparency Act and is obliged to work systematically to ensure respect for fundamental human rights and decent working conditions in its own operations and in the supply chain.
We conduct due diligence assessments in line with the OECD Guidelines for Responsible Business. This means that we:
- Identify and assess actual and potential risks of human and labor rights violations
- Implements appropriate measures to prevent, reduce and stop negative impacts where risks are identified
- Follows up on suppliers and partners based on risk profile and influence potential
- Documenting assessments, measures and follow-up as part of our management system
- Continuously working on improving practices and routines within responsible supplier monitoring
TS Group expects our suppliers and business partners to comply with applicable laws and recognized international standards for human rights and labor conditions.
Right to information
According to the Transparency Act, anyone has the right to request information about how TS Group handles actual and potential negative impacts on fundamental human rights and decent working conditions.
Requests for information can be directed to TS Group, and will be processed in line with legal requirements regarding content, deadlines and documentation.
Anchoring and reporting
The work on the Transparency Act is anchored in TS Group's management and is part of the group's work on ethics, HSE, quality and sustainability.
TS Group publishes an annual statement of due diligence assessments in the group's annual report.
